Terms of service
The terms that apply when you use GainPal's crypto tax reconciliation service as an individual. Plain English, and nothing hidden.
Last updated: 23 October 2026. Draft pending legal review.
1. Who we are
GainPal is a trading name of Sunny [Surname], a sole trader based in the UK ("we", "us"). Contact: hello@gainpal.uk. Address for documents: [business address].
These terms apply to individuals who engage us directly. Accountancy firms working with us as partners have a separate partner agreement, and if you are a client of a partner firm, your contract is with that firm.
2. What we do
We collect and reconcile the crypto records you give us, apply UK tax rules (including same-day, 30-day and section 104 matching), and prepare a report pack for the tax year or years agreed. The pack includes SA108 capital gains figures, a schedule of disposals, pool workings, any income and futures results, and a list of every estimate and assumption made.
A Report Review is a written check of a report produced by other software. It lists the problems found; it does not fix them.
3. What we don't do
- We do not give tax advice or financial advice, and nothing in a pack or review is a recommendation to buy, sell or hold any asset.
- We do not file tax returns, contact HMRC for you, or make disclosures to HMRC on your behalf. You, your accountant or one of our partner accountants do that.
- We never ask for passwords, API keys or seed phrases, and we never take control of your funds.
4. Your quote and our agreement
After the free check we give you a fixed price for the work, based on your activity and the tier that fits it. Our agreement starts when you accept the quote in writing (email is fine) and pay. The price covers up to 10,000 transactions per tax year; if the records turn out to be materially larger or more complex than you described, we will tell you before doing extra work and agree any change with you first. We never add charges you haven't agreed.
5. Payment
You pay in full through a secure payment link when you accept your fixed price. Prices include VAT where applicable. Work starts once payment has cleared.
6. Your part
- Give us complete and accurate records: the exports and public wallet addresses on our checklist, and answers to our questions.
- Tell us about every exchange, wallet and account you have used, including ones you think are not relevant.
- Check the draft and tell us if anything looks wrong or is missing.
- Meet the deadlines we give you. For 31 January returns we need complete data by 8 January; we can't guarantee delivery before a deadline if data arrives later.
The pack is only as complete as the records you provide. Where data is missing we make reasonable estimates and list them clearly; it is your decision, with your accountant if you have one, whether to rely on them.
7. Timing
Most packs take 5 to 10 working days from complete data. This is an estimate, not a guarantee, and complex histories can take longer. We will keep you informed.
8. Our promise
- If anything in your pack is wrong because of our work, we will correct it free of charge.
- If your records can't be reconciled and we can't complete your pack, we will refund the part of the fee for work not done.
These promises are in addition to your legal rights, including your right to have the service performed with reasonable care and skill.
9. Cancelling
You have 14 days from accepting our quote to cancel without giving a reason. Because most clients want work to start straight away, we will ask you to confirm that you want us to begin within those 14 days. If you then cancel, we will refund what you paid less a fair amount for the work already done. Once the work is complete and the final pack delivered, the right to cancel ends.
To cancel, email hello@gainpal.uk. You can cancel after the 14 days too: we will refund the part of the fee for work not yet done.
We may end the agreement if you don't provide the information we need within a reasonable time, if identity checks can't be completed, or if continuing would break the law. We will refund the part of the fee for work not done.
10. Identity checks
As a business giving help with others' tax affairs, we must follow anti-money-laundering rules. We may ask for proof of identity and other information before or during the work, and we can't continue without it. Where the law requires us to report a suspicion, we must do so and may not be able to tell you.
11. Private Sessions
In a Private Session we work on your own computer over an end-to-end encrypted screen-share that is never recorded, and receive no transaction files. You control the computer and the session throughout. Sessions are booked in two-hour blocks after a short setup call and are quoted per case. In-person sessions are available on request and quoted separately.
12. Your data and confidentiality
We keep your information confidential and handle it as set out in our privacy notice. Working files are deleted when your report is delivered and accepted; we keep your final report and the records the law requires.
13. Liability
Our total liability to you for any claim connected with the work is limited to the fees you paid for that work. We are not responsible for:
- tax, interest or penalties that you would have owed anyway;
- errors caused by missing, incomplete or inaccurate information you gave us;
- decisions you or your adviser make using the pack, or how it is filed;
- losses that were not reasonably foreseeable, or business losses.
Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot be limited by law, and nothing affects your statutory rights.
14. Complaints
If you're unhappy with anything, email hello@gainpal.uk. We will acknowledge your complaint within 5 working days and aim to resolve it within 30 days.
15. Changes and law
We may update these terms; the version in force when you accept your quote applies to that work. These terms are governed by the law of England and Wales, and you can bring proceedings in the courts of the part of the UK where you live.
